These are the Terms and Conditions governing your access to and use of the website www.shetewypay.com and its related sub-domains, sites, services, and tools (the "Site"). By using this website, you agree to our terms of use as set out below. Please read the terms carefully before you start to use our site. If you do not agree to these terms of use, you must not use our service.

1. Our service

1.1 Shetewy Pay has developed this service (the “Service”) to make it easy for users to get their hands on focused B2B2C eCommerce platform solution "Mattgur", Wussla App Connector, and Systma Banking OS. Shetewy Pay operates as a UK Fintech Products Services Provider. On registration, Customers are allocated an online account (a "Customer Account"), which contains access to all the services you have subscribed to.

1.2 All fees for use of Shetewy Pay Service ("Shetewy Pay Fees") are set forth in the fees schedule posted on this Site and you acknowledge and agree that Shetewy Pay Fees may be amended from time to time in accordance with the terms of this User Agreement. You should check the fees schedule posted on this Site regularly for any changes to Shetewy Pay Fees.

1.3 Beneficial Owner: You must be the beneficial owner of Shetewy Pay Account, and conduct business only on behalf of yourself.

1.4 You acknowledge and agree that: (i) Shetewy Pay is not a bank and nor is it providing banking services and/or related banking services and/or carrying out functions which are integral or closely related to banking business, nor is Shetewy Pay allowed to grant any form of credit; (ii) Customer Accounts are not insured by any government agency and that there is no voluntary or compulsory scheme in which Shetewy Pay is a member which compensates the Customer in case Shetewy Pay becomes unable to satisfy claims relating to your Customer Account or otherwise in relation to Shetewy Pay Service; and (iii) whilst Shetewy Pay acts as your agent in respect of its custody of your electronic money, Shetewy Pay does not act as a trustee or accept any fiduciary role in respect of the electronic money in your Customer Account.

2. Eligibility

2.1 In order to be eligible for using Shetewy Pay services, you must be at least 18 years old or to and if less than 18 must have parental/guardian consent.

2.2 When you sign up, you are creating a Shetewy Pay Account unique to your provided email and phone number. During the signup process to create a Shetewy Pay Account, we will ask you to provide certain information.

2.3 You must enter and maintain true, up to date, accurate and complete information as requested by us including, without limitation, your name, address, telephone number, date of birth and email address ("Information") in order to become and continue as a Customer. Shetewy Pay may (in its sole discretion) request that you provide further information or documentation to it at any time and for any reason including, without limitation, to confirm your identity, age and/or confirm ownership of your services and you agree that you will provide such information and/or documentation promptly to Shetewy Pay on request. If you do not provide such information and/or documentation promptly to Shetewy Pay on request, Shetewy Pay may, without liability, limit your use of Shetewy Pay Service or suspend or close your Customer Account. Further, you authorize Shetewy Pay to make any enquiries it considers necessary to validate and verify your identity (whether directly or through third parties) at any time for any reason at Shetewy Pay's sole discretion. Each person is only entitled to open one Customer Account. If you register more than one Customer Account, Shetewy Pay shall contact you and ask you to identify which account is to be your Customer Account. Shetewy Pay shall then, without liability, close all your other accounts.

2.4 You are responsible for maintaining the confidentiality of, and restricting access to and use of, your user name, password and details of your Customer Account, and you accept responsibility for all activities that occur under or in relation to your user name, password and Customer Account. You agree to immediately notify Shetewy Pay of any unauthorized use of your user name, password or Customer Account or any other breach of security. In no event will Shetewy Pay be liable for any direct or indirect loss or damage whatsoever resulting from the disclosure of your user name, password and/or other Customer Account details. You agree to reimburse Shetewy Pay for any improper, unauthorized or illegal use of your Customer Account, whether by you or any other person. Every person who logs into the Site by entering the correct user name and password or undertakes any transaction or transfer with the correct password and Customer Account number is assumed by Shetewy Pay to be the rightful Customer Account holder and Shetewy Pay regards all related services as valid. You acknowledge and agree that Shetewy Pay will not reverse or refund any such transactions or transfers.

2.5 Identity Authentication: You agree to comply with all requests made by Shetewy Pay or any of our third-party service providers in connection with your Shetewy Pay Account, to identify you, authenticate your identity, or validate the source of funding to your Shetewy Pay Account or Transactions. Shetewy Pay reserves the right to close, suspend, or limit access to your Shetewy Pay Account and/ or Shetewy Pay Services in the event that we are unable to obtain or verify such Information. You authorize Shetewy Pay directly to make any inquiries we consider necessary to validate your identity. This may include asking you for further information, requiring you to provide your date of birth or other information or form of identity that will allow Shetewy Pay to reasonably identify you, including requiring you to take steps to confirm ownership of your email, phone number, or payment instruments or verifying your Information against third party databases or through other sources. Shetewy Pay may also request to be provided withany identifying documents at any time.

3. Authorization for Handling of Funds

3.1 In order to purchase Shetewy Pay services, you may choose from one or more options available depending on the country you are situated in. You hereby authorize Shetewy Pay to obtain or receive funds on your behalf from your chosen payment source, and for Shetewy Pay to deduct all necessary fees (including Shetewy Pay Fees as per Section 6 of this User Agreement in relation to any obtaining or receiving of such funds). You also agree to upload electronic money to your Customer Account in accordance with the directions on the Site (as may be updated or amended by Shetewy Pay from time to time) and you agree that you will not use any unauthorized, invalid or illegal payment method to upload electronic money to your Customer Account.

3.2 Shetewy Pay may delay execution of your Transaction if it has a reason to believe that your Transaction may involve fraud or misconduct, or violate the applicable law, the User Agreement, or the applicable Issuing Shetewy Pay Policies, as determined in Shetewy Pay's sole and absolute discretion.

3.3 Fraud Monitoring: Shetewy Pay may monitor your Transactions for the purpose of determining fraudulent activities and whether you are in good standing. Shetewy Pay may also decide to suspend your Shetewy Pay Account or limit your privileges. Shetewy Pay will use all available information to help combat fraud on our system.

4. Fees

4.1 You are responsible for the payment of all Shetewy Pay Fees in relation to your use of Shetewy Pay Service. The current Shetewy Pay Fees (as may be amended by Shetewy Pay from time to time in accordance with the terms of this User Agreement) are posted on the Site.

4.2 Shetewy Pay fees for adding funds to your account vary based on the method used for adding funds. Shetewy Pay may charge you fees for maintaining your account and such fees depend on the status of your account. Shetewy Pay defines the following account statuses:

4.3 Dormant Account: Any account with no transactions for a time period of 120 consecutive days, is defined as Dormant Account.

4.4 Prior to registering as a Customer, and prior to carrying out any services using Shetewy Pay, you should review Shetewy Pay Fees. All Shetewy Pay Fees are due and payable immediately and shall be deducted by Shetewy Pay by automatic debit from your Customer Account. All Shetewy Pay Fees are in US Dollars unless otherwise stated on the Site. Shetewy Pay may, without liability, charge you a correction fee if incorrect payment details are provided to us by you. Please note that you are responsible for the payment of all applicable taxes, duties or other charges in relation to your use of Shetewy Pay Service.

5. Restricted Activities

5.1 You acknowledge and agree that you will not use Shetewy Pay Service: (a) to process any illegal material transactions whatsoever including, without limitation, illegal downloads; (b) for any goods and/or services which infringe the intellectual property or other proprietary rights of any third party; and/or (c) for, or in relation to, any illegal purpose or criminal activity of any nature.

5.2 You acknowledge and agree that Shetewy Pay will report any suspicious activity to the relevant authorities. Shetewy Pay may without liability: (a) apply such prevention and detection procedures as it deems necessary; (b) suspend or close any Customer Accounts; and/or (c) cancel or refuse to carry out any transactions, if Shetewy Pay, in its sole discretion, suspects that you are using your Customer Account or any aspect of Shetewy Pay Service for unlawful purposes or your Customer Account is otherwise being used for unlawful purposes.

5.3 You warrant that you are not violating any applicable laws or regulations by your use of the Site, your Customer Account and/or Shetewy Pay Service, and you agree to defend, indemnify and hold Shetewy Pay, its directors, employees, agents and affiliates harmless from any claim, demand (including legal fees and costs), fines, penalties or other liability made or incurred by Shetewy Pay, any Shetewy Pay Merchant, any other Shetewy Pay customer or any third party due to or arising out of your breach of this warranty.

5.4 If we have reason to believe that you have engaged in any of the restricted activities as set out above, we may take various actions to protect Shetewy Pay, Shetewy Pay Merchants, other Shetewy Pay customers, any third party or you from fees, fines, penalties and any other liability. The actions we may take include but are not limited to the following:

5.5 If we close your Customer Account, we will provide you with a notice of our actions. If we suspend your Customer Account, we will provide you with notice of our actions and the opportunity to request restoration of access, if and when appropriate. Any restoration of access shall be at Shetewy Pay's discretion.

6. Third-Party Bank Transactions

6.1 "Shetewy Pay" is not a broker or representative or has any partnership with any banks, including, but not limited to Albaraka Türk Katılım Bankası, Citibank Singapore, United Overseas Bank (UOB) and/or OCBC Bank. It does not control or is jointly controlled by any of the banks in service, including, but not limited to Albaraka Türk Katılım Bankası, Citibank Singapore, United Overseas Bank (UOB) and/or OCBC Bank or any "subsidiary" of any of them.

6.2 Business Day of the bank is the day when the bank carries out the activities necessary for the execution of any process in general.

6.3 You confirm that in case this Agreement or any other agreement is concluded in English, it is understandable by you. You agree that this Agreement or any other agreement is concluded in U.S. English. or other languages that we will provide translation for.

7. Closure of your Shetewy Pay Account

7.1 You may request that Shetewy Pay close your Customer Account at any time by contacting Shetewy Pay Customer Support. Contact details for Shetewy Pay Customer Support are on the Site. Closure of your Customer Account will not cancel any transactions that you have already undertaken.

7.2 If you do not log in to your Customer Account for more than six (6) months, and there are no transactions in your Customer Account, Shetewy Pay may suspend your Customer Account. If your account is suspended, you should contact Shetewy Pay Customer Support to reactivate your Customer Account. Shetewy Pay will reactivate your Customer Account at its sole discretion.

7.3 Shetewy Pay may, at any time, at its sole discretion, discontinue your use of your Customer Account or Shetewy Pay Service or any part thereof. Shetewy Pay shall endeavor to provide notice of any such discontinuation of your Customer Account or Shetewy Pay Service. You agree that Shetewy Pay shall not be liable to you or any third party in relation to any inability for you to access to your Customer Account or Shetewy Pay Service or any part thereof.

8. Disclaimers and Limitation of Liability

8.1 Shetewy Pay makes no representations or warranties as to the continuous, uninterrupted or secure access to Shetewy Pay Service or to your Customer Account, which may be affected by factors outside of our control, or may be subject to periodic testing, repair, upgrade or maintenance.

8.2 Use of the Site is at your own risk. The Site is provided on an "AS IS" and "AS AVAILABLE" basis without any representation or endorsement made and without warranty or guarantee of any kind whether express or implied, including, but not limited to, the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.

8.3 Shetewy Pay Service is limited to providing the Customer with a payment gateway app feature or marketplace and does not ensure the quality, safety or legality of the transaction Customer is undertaking.

8.4 The Site may include links to third party websites that are controlled or maintained by others. Accordingly, Shetewy Pay cannot accept any responsibility for the materials or offers for services featured on such websites. Any link to other websites is not a warranty that such websites will be free of viruses or other such items of a destructive nature and you acknowledge and agree that Shetewy Pay is not responsible for the content or availability of any such websites

8.5 Shetewy Pay, its directors, employees, agents and affiliates will not be liable for any loss or damage (whether direct or indirect or consequential loss or damage) whatsoever (including, without limitation, loss of business, opportunity, data, goodwill or profits) arising out of or in connection with your use of the Site, your Customer Account and/or Shetewy Pay Service (or any part thereof) whether caused by negligence or otherwise, including without limitation arising out of or in connection with:

8.6 Any fraud, deception or misrepresentations as a result of any act, omission or negligence by you in relation to your Customer Account;

8.7 Delays, losses, errors, or omissions resulting from failure of any telecommunications or any other data transmission system and the failure of any central computer system, servers or any part thereof; and The results of acts of any governmental or other authority, any act of God or other force majeure event.

9. Indemnity

9.1 You agree to indemnify and hold Shetewy Pay, its directors, employees, agents and affiliates harmless from and against any breach by you of this User Agreement, including without limitation, all claims, actions, proceedings, losses, liabilities, damages, costs, expenses (including reasonable legal costs and expenses) howsoever suffered or incurred by Shetewy Pay, any other Shetewy Pay customers or any third parties (including any Shetewy Pay Merchants) due to or arising out of your breach of this User Agreement.

10. Transfer of Rights and Obligations

10.1 You hereby grant Shetewy Pay the right to, and irrevocably acknowledge and agree that Shetewy Pay may at any time, transfer all or any part of its rights, benefits, obligations or liabilities (whether express or assumed) under this User Agreement. Shetewy Pay shall endeavor to provide you with notice of any transfer by way of a posting on the Site. You may not, at any time, without the prior written consent of Shetewy Pay, transfer all or any part of your rights, benefits, obligations or liabilities (whether express or assumed) under this User Agreement without the prior written consent of Shetewy Pay.

11. Disputes with Shetewy Pay

11.1 If any dispute, claim, controversy or difference (including in relation to any tortious or statutory claim) ("Dispute") arises out of or in connection with or in relation to this User Agreement, then the parties shall first attempt amicably to settle the Dispute through good-faith negotiations over a period of thirty (30) calendar days commencing on the date that a party first sends to the other party a written notice of the Dispute. In the event that a Dispute has not been settled amicably by the relevant parties by the end of such thirty (30) day-period, the parties hereby agree that the Dispute shall be referred to and finally resolved as described in Section 19 below Except if otherwise agreed by the parties.

11.2 Shetewy Pay's failure to act with respect to a breach by you or others does not waive Shetewy Pay's right to act with respect to subsequent or similar breaches.

11.3 You are responsible for all liabilities, financial or otherwise, incurred by Shetewy Pay, a User, or a third party caused by or arising out of your breach of this User Agreement, your use of Shetewy Pay Services, and any use of your Shetewy Pay Account. You agree to reimburse Shetewy Pay, a User, or a third party for any and all such liability, to the extent not prohibited by the applicable law. The consequence of any breach of the terms of your Shetewy Pay Agreement will be covered by that agreement, separately and independently from these Terms of Service.

11.4 Reimbursement for Your Liability: To the extent permitted by law, we may collect from you any obligations that you owe us under this User Agreement. To the extent permitted by law, we may also collect from you, by any collection means available to us, any amounts we pay or incur in connection with reimbursable claims. Additionally, as applicable, you agree to cooperate with Shetewy Pay, and any third party associated with Shetewy Pay Services.

12. Governing Law

12.1 This User Agreement shall be governed by and construed in accordance with the laws of The United Kingdom. The courts of The United Kingdom have exclusive jurisdiction to settle any dispute arising out of or in connection with this User Agreement (including a dispute regarding the existence, validity or termination of this Agreement.
